Terms and Conditions

By accessing or using Voxsels, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these terms, you must refrain from accessing or using our platform. These Terms apply globally to all users, presenters, and participants across all jurisdictions, including but not limited to the European Economic Area (EEA), the United States, the United Kingdom, Canada, Australia, Brazil, South Africa, Singapore, and Japan.

Voxsels is a modular, real-time audience engagement platform. Presenters can create interactive blocks (such as word clouds, polls, trivia, Q&A sessions, and sentiment sliders) known as “Voxsels.” These can be arranged into interactive “Sessions” broadcasted from a personal “Lobby.”

Audience members can join these Sessions to participate by submitting responses in real time. We strive to provide low-latency synchronization and an interactive experience for educational, corporate, and entertainment use.

To create and manage Sessions, presenters are required to register for an account using a valid email address and display name. By registering, you confirm that you are of legal age to form a binding contract in your jurisdiction.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate our terms or provide inaccurate registration information.

Audience members (participants) can join live Sessions anonymously using a QR code or short code via a web browser. No app installation or account creation is required to participate.

While participating as a guest, you agree to comply with all rules set by the presenter and these overall Terms and Conditions. Presenters retain full control over their Sessions and have the right to moderate, remove, or block participant inputs.

All users agree not to use Voxsels to submit, post, or transmit any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable. You must not use the platform to distribute malware, engage in phishing, or conduct unauthorized promotional activities.

We grant presenters the tools to moderate user-generated content during their Sessions. However, Voxsels reserves the right to review, monitor, and remove any content or Session that violates these Terms, and to report illegal activities to the appropriate law enforcement authorities globally.

The Voxsels platform, including its software, design, logos, and features, is the intellectual property of Voxsels and is protected by international copyright and trademark laws. You are granted a limited, non-exclusive license to use the platform as intended.

Presenters and participants retain ownership of the content they create or submit during Sessions. By submitting content, you grant Voxsels a worldwide, royalty-free license to host, display, and process your content strictly for the purpose of operating and improving the platform.

Your privacy is fundamental to our platform. We process personal data in accordance with our Privacy Policy. For presenters, we collect minimal data such as email addresses and display names. Participants join anonymously, and we only process their live responses (votes, text submissions, sentiment ratings).

We comply with applicable global privacy laws including the General Data Protection Regulation (GDPR) in the EU and UK, the California Consumer Privacy Act (CCPA/CPRA), the Brazilian General Data Protection Law (LGPD), Canada's PIPEDA, South Africa's POPIA, the PDPA in Singapore and Thailand, Australia's Privacy Act, and Japan's APPI. We protect children's privacy in accordance with COPPA and prohibit users under the age of 13 from creating presenter accounts.

We strive to provide continuous and uninterrupted service. However, Voxsels does not guarantee any specific Service Level Agreements (SLAs) regarding uptime, particularly during beta phases or planned maintenance windows.

We reserve the right to temporarily suspend the platform for updates, maintenance, or technical repairs. We will make reasonable efforts to notify presenters of significant scheduled downtime in advance.

To the maximum extent permitted by applicable law, Voxsels and its developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of, or inability to access or use, the platform.

This limitation applies to any loss of data, revenues, or profits, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage.

You agree to defend, indemnify, and hold harmless Voxsels and its creators from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the service, your violation of these Terms, or your violation of any third-party rights, including intellectual property or privacy rights.

Voxsels is provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will meet your specific requirements or operate completely error-free.

We may terminate or suspend your account and access to the platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the platform will immediately cease. You may also terminate your account at any time by contacting our support team.

These Terms shall be governed and construed in accordance with standard international commercial law, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be settled by binding international arbitration. We reserve the right to seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of our intellectual property.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the platform following the posting of changes constitutes acceptance of those changes.

If any provision of these Terms is held to be unenforceable or invalid by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

These Terms and our Privacy Policy constitute the entire agreement between us regarding our service, and supersede and replace any prior agreements we might have had between us regarding the service.
